Astra Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and Astra ("Astra," "we," "our," or "us"). They govern your access to and use of our website, iOS application, backend APIs, and related services (collectively, the "Services"). Please read these Terms carefully. By accessing or using the Services, creating an account, downloading the public beta, or connecting a third-party account, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
1. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with involvement and consent of a parent or legal guardian.
You must have the legal capacity to enter into these Terms and may not use the Services if you are barred from doing so under applicable law, sanctions rules, or export-control restrictions.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.
2. The Services
Astra provides a proactive personal assistant for planning, productivity, and source-aware daily context. Features may include public TestFlight beta access, Google sign-in, Gmail and Calendar reading, Gmail draft assistance, user-approved Calendar event changes, Today planning, task suggestions, reminders, memory controls, relationship reminders, discovery opportunities, Ask Astra chat, and related assistant workflows.
The Services are currently offered as a public beta. We may add, change, limit, suspend, or discontinue features at any time, including beta, preview, experimental, or early-access features.
3. Accounts and Credentials
You may need an account to use parts of the Services. You agree to provide accurate information and keep it current.
You are responsible for maintaining the confidentiality of your credentials, devices, and connected accounts, and for all activity under your account. Notify us promptly at mail@heyastra.xyz if you suspect unauthorized access.
4. Connected Third-Party Accounts
The Services may allow you to connect Google or other third-party accounts. By connecting an account, you authorize Astra to access, process, and exchange information with that provider as needed to provide the features you request.
Third-party services are governed by their own terms and policies. Astra is not responsible for third-party services, outages, data, policies, or actions.
You are responsible for ensuring that your use of connected accounts with Astra complies with applicable third-party terms and laws.
5. User Content
"User Content" means content, data, and information you provide, connect, generate, transmit, or make available through the Services, including emails, calendar events, tasks, preferences, memory entries, messages, feedback, files, and source context.
You retain ownership of your User Content. You grant Astra a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, analyze, and create technical derivatives from User Content solely as needed to operate, provide, secure, support, and improve the Services.
You represent that you have the rights and permissions needed to provide User Content to Astra and to authorize our processing of it under these Terms and the Privacy Policy.
6. AI-Powered Features
Some Services use AI-powered features provided by Astra or third-party providers such as OpenAI. These features may summarize, classify, rank, draft, explain, search, or suggest next steps based on User Content and other context.
AI-generated output may be incomplete, inaccurate, delayed, or inappropriate for your circumstances. You must review any AI-generated output before relying on it, sending it, acting on it, or using it outside the Services.
Astra does not use your User Content to train generalized AI models. AI providers may process the data necessary to deliver the feature you request, subject to the Privacy Policy and applicable provider commitments.
7. No Professional Advice
No professional advice is provided through the Services. Astra may help organize information, identify possible next steps, or summarize source context, but it is not a substitute for legal, financial, tax, medical, mental health, safety, travel, employment, or other professional advice.
You are solely responsible for decisions you make based on the Services and for independently verifying important information.
8. External Actions and Approvals
Astra may suggest drafts, plans, reminders, tasks, or other actions. Unless a feature clearly states otherwise and you provide any required approval, Astra does not send emails, edit calendars, book travel, make purchases, submit forms, cancel reservations, or otherwise change external systems on your behalf.
You are responsible for reviewing and approving any external action before it is taken.
9. Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes:
- Using the Services in violation of law, third-party rights, sanctions, or export-control rules.
- Uploading, connecting, or transmitting content you do not have the right to process through Astra.
- Using the Services to send spam, phishing, malware, deceptive content, harassment, or unlawful communications.
- Attempting to gain unauthorized access to the Services, accounts, systems, or data.
- Interfering with, overloading, reverse engineering, scraping, crawling, probing, or disrupting the Services.
- Circumventing usage limits, security controls, beta access restrictions, or provider policies.
- Using the Services to build competing models or services in a way that violates these Terms or third-party rights.
10. Privacy and Data Protection
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, share, and protect personal information.
When you connect Google services, Astra's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
11. Ownership and Intellectual Property
Astra and its licensors own all rights, title, and interest in the Services, including software, interfaces, designs, trademarks, logos, text, graphics, algorithms, models, workflows, and other technology, except for your User Content.
Subject to these Terms, Astra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business productivity purposes.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services except as allowed by law or with our written permission.
12. Feedback
If you provide feedback, ideas, suggestions, bug reports, or feature requests, you grant Astra a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation to you.
13. Fees
Astra is currently offered without paid subscription fees. We may introduce paid features, subscriptions, or usage limits in the future. If we do, we will disclose pricing and payment terms before charging you.
14. Beta Availability and Reliability
The Services may be unavailable, delayed, inaccurate, incomplete, rate limited, degraded, or interrupted. We do not guarantee that email, calendar, task, notification, AI, web-search, Firebase, Google, OpenAI, or connected-account features will always be available, timely, secure, or error-free.
You should not rely on the Services as your only method for receiving, sending, tracking, or responding to time-sensitive or critical information.
15. App Store Terms
If you download Astra through the Apple App Store or another app marketplace, your use of the mobile application may also be subject to that marketplace's terms. The marketplace provider is not responsible for the Services, support, claims, or maintenance except as required by applicable marketplace terms.
16. Termination and Suspension
You may stop using the Services at any time and may request account deletion by contacting mail@heyastra.xyz or using in-app deletion controls where available.
We may suspend or terminate your access if we believe you violated these Terms, created risk or liability, compromised security, used the Services unlawfully, or if we discontinue all or part of the Services.
Upon termination, your right to use the Services ends immediately. Certain provisions, including ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms, survive termination.
17. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.
Astra does not warrant that the Services will meet your requirements, be uninterrupted, secure, timely, or error-free, or that AI-generated output, source summaries, reminders, notifications, or connected-account data will be accurate or complete.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS OPPORTUNITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID ASTRA FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
19. Indemnification
You agree to indemnify, defend, and hold harmless Astra and its affiliates, officers, employees, agents, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your User Content, your violation of these Terms, your violation of law, or your violation of third-party rights.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
20. Dispute Resolution and Binding Arbitration
Please contact us first at mail@heyastra.xyz so we can try to resolve any dispute informally. If we cannot resolve a dispute within 30 days, you and Astra agree to resolve disputes through binding arbitration, except for the exceptions below.
The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, unless the parties agree otherwise. The arbitrator will have authority to resolve disputes about arbitrability, enforceability, interpretation, and scope of this arbitration agreement.
You and Astra waive the right to a jury trial and agree that each may bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative action.
You may opt out of arbitration within 30 days after first accepting these Terms by emailing mail@heyastra.xyz with the subject line "Arbitration Opt-Out." Include your name, account email, and a clear statement that you opt out of arbitration.
Either party may bring an individual action in small claims court where permitted. Either party may seek injunctive or equitable relief in court for intellectual-property misuse, unauthorized access, or security abuse.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except to the extent preempted by U.S. federal law or where local consumer law requires otherwise.
Subject to the arbitration provision, legal proceedings that are not required to be arbitrated must be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Services, by email, or by another reasonable method. Your continued use of the Services after changes become effective means you accept the updated Terms.
23. Miscellaneous
These Terms and the Privacy Policy are the entire agreement between you and Astra regarding the Services and supersede prior agreements on that subject.
If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.
Neither party will be liable for delay or failure to perform caused by events beyond reasonable control. Headings are for convenience only. The word "including" means "including without limitation."
